These Terms and Conditions govern access to and use of the Viviz WhatsApp Business Platform. By creating an account, signing an order, or using the service, the customer agrees to these terms, the applicable proposal or order, our Privacy Policy, and Meta's applicable WhatsApp terms and policies.
1. Eligibility and authority
You must be legally able to contract and authorized to act for the business named on the account. You are responsible for accurate registration, business-verification, billing, support, and WhatsApp asset information.
2. Account security
You must protect administrator credentials, access tokens, app secrets, two-factor authentication, and recovery methods. Notify us promptly of suspected compromise. Actions taken through your account are treated as authorized until access is suspended or credentials are rotated.
3. Permitted use
Use the service only for lawful business communications and in accordance with the WhatsApp Business Messaging Policy, Commerce Policy, applicable privacy/marketing law, and this agreement. You must not:
- Send spam, deceptive messages, purchased-list campaigns, or messages without required consent.
- Ignore opt-outs, blocks, age/country restrictions, or Meta enforcement.
- Use the platform for illegal, prohibited, or unsupported regulated goods or services.
- Upload malware, probe security, bypass restrictions, scrape the service, or interfere with other users.
- Misrepresent your identity, affiliation, offers, pricing, or message purpose.
4. Customer data and messaging responsibility
You control your contact lists, content, templates, campaigns, and instructions. You must have the right to provide all uploaded data and must maintain evidence of required WhatsApp opt-ins. You are responsible for message accuracy, audience selection, local-law compliance, customer support, and honoring requests for access, correction, deletion, or opt-out.
5. Meta and third-party services
The platform depends on Meta/WhatsApp, hosting, network, storage, and optional AI services. Their terms, eligibility decisions, outages, pricing, API changes, template reviews, quality controls, and account restrictions are outside our control. We do not guarantee Meta approval, message delivery, read rates, or continued availability of any third-party feature.
6. Fees and billing
Platform fees, billing frequency, taxes, included usage, and payment terms are stated in the applicable order or proposal. Meta messaging charges and third-party fees are separate unless the order expressly says otherwise. Late or failed payment may result in suspension. Refund and cancellation rules are described in the applicable order and our Refund Policy.
7. AI-assisted features
AI output can be inaccurate or inappropriate. You must review configurations and remain responsible for messages sent on your behalf. Do not submit sensitive information to AI features unless authorized and appropriate safeguards are in place.
8. Intellectual property
Viviz and its licensors retain rights in the platform, software, branding, and documentation. You retain rights in your business content and data. You grant us the limited rights required to host, process, transmit, back up, and display that content to provide and secure the service.
9. Availability and changes
We aim to operate a reliable service but do not promise uninterrupted or error-free availability unless a signed service-level agreement says otherwise. We may change features to address security, law, Meta requirements, abuse, performance, or product development.
10. Suspension and termination
We may restrict or suspend access for security risk, non-payment, unlawful activity, policy violations, excessive abuse complaints, or Meta restrictions. On termination, fees already due remain payable. Data export and deletion are handled under the agreement, Privacy Policy, and applicable law.
11. Warranties and liability
The service is provided on an "as available" basis to the extent permitted by law. We disclaim implied warranties not expressly stated in a signed agreement. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss. Viviz's aggregate liability for the service will not exceed the amount paid for the affected service during the three months before the event giving rise to the claim, except where applicable law does not allow that limitation.
12. Indemnity
You will defend and indemnify Viviz against third-party claims arising from your unlawful content, contact lists, campaigns, missing consent, misuse of the service, or violation of Meta policy, except to the extent caused by Viviz's breach or unlawful conduct.
13. Governing law and changes
These terms are governed by the laws of India. Courts in Tiruchirappalli, Tamil Nadu have exclusive jurisdiction, subject to any mandatory law. A signed order or service agreement controls if it conflicts with these website terms. We may update these terms prospectively; the date above identifies the current version.
